Terms of Service

These Terms of Service govern your use of Planner ("the Service"), operated by Shohanur Rahman, a sole trader based in London, United Kingdom. By creating an account or using the Service, you agree to these Terms.
1. The Service
Planner is a personal task-planning and accountability application. It helps you organize long-term plans, weekly objectives, and daily tasks, and can send accountability briefings to Telegram on a schedule you configure.
The Service uses AI models from Moonshot AI and DeepSeek to parse your inputs and generate briefings. AI-generated content is informational and may be wrong, irrelevant, or inappropriate for your situation. See section 7 (Disclaimers) for the full scope of what the Service is and is not.
2. Accounts and eligibility
Planner is currently invite-only. To sign up, you must:
- Be at least 18 years old.
- Be on the Planner waitlist and have received an invitation.
- Provide accurate registration information.
- Keep your account credentials confidential. You are responsible for activity under your account.
You may close your account at any time by contacting us at charliedude2008@gmail.com. On account deletion, we delete your data as described in the Privacy Policy.
3. Acceptable use
You agree not to:
- Use the Service for any illegal purpose.
- Attempt to gain unauthorized access to other users' accounts, our infrastructure, or third-party systems via the Service.
- Submit content designed to exploit, manipulate, or attack the AI models we use (prompt injection, jailbreak attempts, attempts to extract training data).
- Use the Service to send spam, harassment, or unsolicited messages via Telegram or any connected channel.
- Scrape, copy, or resell the Service or its content.
- Reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by law.
- Submit content that infringes intellectual property, violates privacy, or is illegal in the United Kingdom.
We may suspend or terminate accounts that violate these rules, without notice if the violation is serious or ongoing.
4. Your content
You retain ownership of the plans, tasks, and other content you create in Planner ("Your Content").
You grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of operating the Service. This license ends when you delete Your Content or close your account.
We process Your Content as described in our Privacy Policy, including anonymized transmission to AI providers for parsing and briefing generation.
5. AI-generated content
Briefings, parsed task structures, and other AI-generated outputs are produced by third-party language models. We do not guarantee the accuracy, completeness, appropriateness, or fitness for any particular purpose of AI-generated content.
The Service is not a substitute for professional advice. Do not rely on Planner's AI output for:
- Medical, mental health, or therapeutic decisions.
- Legal advice.
- Financial or investment decisions.
- Safety-critical planning.
- Decisions that materially affect your livelihood or wellbeing.
Consult a qualified professional for those matters. You use AI-generated content at your own risk.
6. Third-party services
Planner integrates with third-party services to operate, including but not limited to: Clerk (authentication), Telegram (message delivery), Moonshot AI and DeepSeek (AI processing), Neon, Railway, and Vercel (infrastructure).
Your use of these services through Planner is also subject to their respective terms and privacy policies. We are not responsible for the availability, content, or practices of third-party services.
7. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free.
- AI-generated content will be accurate or appropriate.
- Briefings will be delivered on time (Telegram delivery, AI provider availability, and our infrastructure can all fail).
- The Service will achieve any particular goal or outcome for you.
8. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from or relating to the Service is limited to GBP 50 or the amount you have paid us in the 12 months preceding the claim, whichever is greater.
We are not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, missed deadlines, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited under UK law.
9. Suspension and termination
We may suspend or terminate your access to the Service:
- If you violate these Terms.
- If we are required to do so by law.
- If we discontinue the Service (we will provide reasonable advance notice and the ability to export your data where feasible).
You may stop using the Service at any time by closing your account.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify registered users by email and update the "Last updated" date above. Continued use after notification means you accept the updated Terms. If you do not accept the changes, you may close your account.
11. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer based in the EU, you may also have rights to bring proceedings in your country of residence.
